Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the multi-tenant WhatsApp Business messaging platform, websites, applications, and related services (collectively, the “Services”) provided by Wasparks, Inc. (“Wasparks,” “we,” “us,” or “our”). Please read them carefully.

1. Acceptance of Terms

By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

If you do not agree to these Terms, you must not access or use the Services. We may require you to agree to additional terms for certain features, and those additional terms become part of your agreement with us.

2. Description of Service

Wasparks provides a software-as-a-service platform that allows businesses to manage messaging, automation, templates, and customer conversations over the WhatsApp Business Platform, including multi-tenant account management, role-based access, webhook events, and related tools.

Wasparks is an independent provider and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or WhatsApp. “WhatsApp” and “Meta” are trademarks of their respective owners. Your use of the WhatsApp Business API through the Services requires a valid WhatsApp Business Account and remains subject to Meta’s applicable terms and policies.

We may add, modify, or discontinue features of the Services at any time. We will use reasonable efforts to notify you of material changes that adversely affect your use of the Services.

3. Account Registration and Responsibilities

To use the Services, you must register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including those of any users or tenants you administer.

  • You must be at least 18 years old and capable of forming a binding contract.
  • You are responsible for the acts and omissions of users you invite, and for configuring appropriate roles and permissions.
  • You must promptly notify us of any unauthorized access to or use of your account.

4. Acceptable Use Policy

You agree to use the Services lawfully and responsibly. You must obtain all consents and opt-ins required by applicable law and by WhatsApp’s policies before messaging any recipient. You may not, and may not permit others to:

  • Send spam, unsolicited, or bulk messages to recipients who have not opted in;
  • Transmit content that is illegal, fraudulent, deceptive, defamatory, obscene, or that infringes the intellectual-property or privacy rights of others;
  • Distribute malware, conduct phishing, or engage in any activity that harms or interferes with the Services or other users;
  • Attempt to gain unauthorized access to the Services, scrape data, reverse-engineer, or circumvent rate limits or security controls;
  • Resell, sublicense, or commercially exploit the Services without our prior written authorization.

We may investigate suspected violations and may suspend or terminate access for conduct that violates this section.

5. WhatsApp / Meta Platform Compliance

Your use of the WhatsApp Business API through the Services is conditioned on your ongoing compliance with all applicable Meta and WhatsApp terms and policies, including but not limited to:

  • the Meta Platform Terms and WhatsApp Business Solution Terms;
  • the WhatsApp Business Messaging Policy; and
  • the WhatsApp Commerce Policy.

You are solely responsible for your WhatsApp Business Account and for the lawful basis and recipient consent for your messaging. Meta may impose messaging limits, quality ratings, or restrictions on your account, and may suspend or disable access independently of us. We may suspend or terminate your use of the Services if required by Meta or to maintain platform compliance.

6. Payment Terms

Certain features of the Services are offered on a paid-subscription basis. By selecting a paid plan, you agree to pay the applicable fees described at the time of purchase.

  • Fees are billed in advance on a recurring basis (monthly or annually) and, unless cancelled, renew automatically for successive periods.
  • Fees are exclusive of taxes; you are responsible for applicable taxes, duties, and WhatsApp conversation charges levied by Meta.
  • Late or failed payments may result in suspension of the Services. Except where required by law, fees are non-refundable.
  • We may change our fees upon reasonable prior notice, effective at the start of your next billing period.

7. Intellectual Property

The Services, including all software, designs, text, and trademarks, are owned by Wasparks or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You retain all rights to the content and data you submit (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, and transmit Your Content solely as necessary to provide and improve the Services.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

8. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. With respect to end-customer messaging data, you act as the data controller and Wasparks acts as a data processor that processes such data on your documented instructions.

You are responsible for ensuring you have a lawful basis and all necessary consents to collect, transmit, and process the personal data of your message recipients. Where required, the parties will enter into a Data Processing Addendum, which forms part of these Terms.

9. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that message delivery will be guaranteed by WhatsApp or Meta.

To the maximum extent permitted by law, Wasparks will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees, create risk or legal exposure for us, or as required to comply with Meta’s policies or applicable law.

Upon termination, your right to use the Services ceases immediately. We will make Your Content available for export for a limited period after termination, after which it may be deleted in accordance with our Privacy Policy. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to any applicable mandatory law, the courts located in Jaipur, Rajasthan, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction of those courts.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will revise the “Effective date” above and provide reasonable notice, such as by email or an in-product notice. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services.
